Assume pre-PIPE shares outstanding are unknown but likely in the tens of millions (typical for a small-cap Chinese ADR). The PIPE adds 442 million shares immediately. The investors have a two-year window to exercise warrants at the same price, effectively giving them a free option on the company’s equity. If the stock stagnates, they simply hold their shares and hope for BTC appreciation. If the stock rallies, they double down. The original shareholders, however, bear the full dilution. The company’s treasury strategy is now tied to a volatile asset, and every BTC price drop will hit the balance sheet. The SEC’s accounting treatment of BTC as an indefinite-lived intangible asset requires impairment charges when prices fall, creating a drag on earnings.

This is not a case of “institutional adoption.” It is a case of capital structure arbitrage using BTC as a currency. The real vulnerability is the combination of dilution, custody opacity, and regulatory risk. Expect either a quiet sell-off of the BTC by the company under financial pressure, or a regulatory inquiry from Chinese authorities. The stock will likely trade as a leveraged BTC proxy, but with the added complexity of warrant dilution. For the average investor, this is a high-risk, low-transparency instrument.
